1Introduction
Welcome to Brand Localization (“we,” “our,” or “us”). By accessing, registering an account on, or using our proprietary platform at portal.brand-localization.com and related public web properties, you (“User,” “Client,” or “Customer”) agree to be legally bound by these Terms of Service and all incorporated policies, including our Privacy Policy and Refund Policy.
If you do not agree to these terms in their entirety, you must immediately discontinue use of our platform and services.
2Description of Services
Brand Localization provides enterprise-grade audiovisual and text localization solutions, including:
- Video subtitling, captioning, and timing synchronization
- Human-in-the-loop AI and native professional dubbing
- Video thumbnail transcreation and DTP artwork
- Website, software UI, and document translation
While we harness cutting-edge Artificial Intelligence technologies for preliminary transcription, vocal stem isolation, and draft alignment, our core commitment to gold-standard broadcast quality rests upon rigorous native human review. Verified linguistic specialists perform contextual editing, cultural resonance auditing, and multi-tier quality assurance (ISO 17100:2015 aligned) before final client delivery.
3Payments, Pricing, and Account Balance
Our platform provides clear, upfront, and transparent pricing in United States Dollars (USD):
- Prepaid account balances are drawn down automatically as orders are confirmed and dispatched into production.
- Bonus / Promotional Credits: Any promotional or bonus credits awarded with package purchases have no independent cash value, cannot be redeemed for cash or withdrawn, and are strictly non-transferable.
- Payment Processors & Merchant of Record: Payments are processed securely through authorized third-party payment processors and Merchants of Record (such as Lemon Squeezy and Stripe). By completing a purchase, you also agree to the applicable terms of the payment processor used for that transaction. We do not store sensitive credit card or CVV details on our servers.
4Intellectual Property & Content Ownership
Client Source Materials: You retain 100% full ownership, copyright, and all intellectual property rights in all video files, audio tracks, scripts, graphics, and documents uploaded to our platform.
Delivered Localized Assets: Subject to full payment of all applicable fees for the order, Brand Localization assigns and transfers to you all worldwide copyright, title, and intellectual property rights in the final delivered localized assets (including translated subtitles, recorded/synthesized dubbing audio stems, localized thumbnails, and adapted scripts).
Translation Memory & Adaptive Calibration: To preserve your brand consistency and approved vocabulary across future orders, verified translation pairs and linguist revisions are captured within your account’s private Translation Memory (TM) bank. You grant Brand Localization a limited, non-exclusive license to utilize these approved linguistic pairs strictly within your account environment to calibrate adaptive AI models, enforce terminology consistency, and optimize turnaround times for your ongoing projects.
Platform IP: All proprietary software, algorithms, user interfaces, branding, vTMS workflow engines, and documentation created or owned by Brand Localization remain our exclusive intellectual property.
5User Obligations & Copyright Warranties
As a condition of using our services, you expressly warrant and represent that:
- You are at least 18 years of age and possess the legal authority to enter into this agreement.
- You maintain the confidentiality of your account credentials and accept full responsibility for all activities that occur under your account.
- Third-Party Copyright Warranty: You own or hold all necessary legal licenses, permissions, and consents to upload the source materials for transcription, translation, and dubbing. You agree to defend, indemnify, and hold harmless Brand Localization, its directors, employees, and linguists from and against any third-party claims, liabilities, or damages arising out of any alleged intellectual property infringement in your source content.
6Acceptable Use & Prohibited Content
You agree not to upload, transmit, or process any materials that:
- Are unlawful, fraudulent, defamatory, obscene, pornographic, or harassing.
- Promote hate speech, violence, terrorism, discrimination, or child sexual exploitation.
- Infringe upon any patent, trademark, trade secret, or copyright of any person or entity.
- Contain malicious code, trojans, viruses, or corrupted media designed to disrupt platform systems.
Right of Refusal & Refund Handling:
Brand Localization reserves the right, in its sole discretion, to reject, halt, or cancel any project containing prohibited content. In such cases, any eligible refunds will be handled strictly in accordance with our applicable Refund Policy (including deduction of unrecoverable payment processing and automated setup costs).
7Digital Delivery & Turnaround
Our services are delivered exclusively via digital channels. Completed localization files (e.g., subtitle files, localized audio stems, rendered video files, translated documents) are delivered electronically to your authenticated client portal dashboard with real-time preview and secure HTTPS download links.
Turnaround estimates (e.g., 24–48 hours) provided at the time of order placement are good-faith professional estimates based on project complexity, language pair availability, and runtime. While we strive to meet or beat all estimated timelines, minor extensions may occur during rigorous multi-stage quality review without constituting a breach of agreement.
8Limitation of Liability & AI Disclaimer
To the fullest extent permitted by applicable law, Brand Localization and its affiliates, suppliers, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of revenue, profits, business interruption, or reputational damage) arising from the use of our services.
Maximum Liability Cap: In no event shall Brand Localization’s total cumulative liability arising out of or related to these terms or any order exceed the actual amount paid by the Client for the specific order giving rise to the claim.
9Governing Law & Jurisdiction
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Egypt, without regard to its conflict of law principles. Any legal disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts of Cairo, Egypt.
